The equity of the Taiwan Futures Exchange Corporation is equally split among four industries: securities, futures, banking, and securities/futures-related institutions. Pursuant to the Futures Trading Act, each shareholder may hold no more than 5% of TAIFEX’s outstanding shares unless given explicit FSC approval to do so. Since the Articles of Incorporation limit the shareholders to enterprises in the above four industries, any transfer of shares is restricted to the same.
The Board of Directors and Supervisors consists of 15 directors and five supervisors. In accordance with the Futures Trading Act, four directors and two supervisors are non-shareholder experts in related industries, half of whom are appointed by the FSC and the other half of whom are selected by the Board with the approval of the FSC. The remaining 11 directors and three supervisors are elected from the among shareholders by the Shareholders Meeting. The term of office is three years but reelection or reappointment is permissible.
